Equity Raising Overview

  • Launching a fully underwritten AUD 300 million equity raising, split between a AUD 200 million institutional placement and a AUD 100 million 1-for-17 accelerated non-renounceable entitlement offer at AUD 2.00 per security, a 6% discount to the last close price and 5.2% below TERP.

  • Approximately 150 million new securities will be issued, representing 17.6% of existing securities.

  • New securities will rank equally with existing securities but are not entitled to the June 2026 distribution.

  • The offer is fully underwritten by joint lead managers and bookrunners, with customary conditions and fees.

  • Retail entitlement offer is available to eligible securityholders in Australia, New Zealand, and select jurisdictions as of 24 June 2026, with a Top-Up Facility for additional securities.

Strategic Growth Initiatives

  • Proceeds will accelerate growth in ResetData (AI Factories), expand real estate equity and credit funds management, and support onboarding and deployment of over 10,000 GPUs.

  • Unlocks a pathway to over 200MW of power across existing assets for future AI Factory opportunities.

  • Supports origination and underwriting of larger real estate transactions, focusing on unlisted funds and institutional mandates.

  • Expands private credit funds to capture market share in a sector forecast to grow 13% p.a. from CY25 to CY28.

  • Demand for AI infrastructure is outpacing supply, with strong inbound interest for 2026–2027 deployments from hyperscaler and enterprise customers.

AI Infrastructure and ResetData Pipeline

  • ResetData and Centuria combine real assets, power, and capital with AI compute infrastructure, creating a vertically integrated platform.

  • ResetData is one of three official NVIDIA Cloud Partners in Australia and the only neocloud Dell Titanium Partner.

  • AI1, Australia’s first operational sovereign AI-Factory (1.1MW), is fully leased and expected to generate AUD 15 million in revenue at capacity.

  • Pipeline includes less than 3 MW of near-term capacity, 13 MW under heads of agreement, 7 MW under a master services agreement, and over 200 MW in long-term development.

  • Power availability within existing assets is a key structural advantage, enabling rapid development and customer delivery.
