M&A announcement summary
22 Oct, 2026Deal rationale and strategic fit
Aspyr’s established publishing and porting expertise, partner relationships, and Austin team complement Saber’s resources and Embracer’s broad game portfolio.
The founders cited access to greater scale, talent, and intellectual property as enabling growth opportunities they could not pursue as readily alone.
Aspyr’s licensed-IP expertise and publishing business are expected to continue, alongside expansion into internal development and larger projects.
Financial terms and conditions
Upfront purchase price of $100m: ~$60m cash and $40m in shares; the founders become shareholders upon closing.
A $25m earn-out tranche depends on the founders remaining involved and the release of specified commercial products.
Over seven years, an additional earn-out pays the founders 40% of accumulated EBIT above a $70m threshold, capped at $325m; the cap requires ~$961m accumulated EBIT.
In the last fiscal year, Aspyr generated about $40m revenue and about $11m operational EBIT.
Synergies and expected cost savings
Aspyr Studio Libraries reduce game porting times by up to 75%, supporting more cost-effective conversions across platforms.
Saber and Embracer studios may provide resources for Aspyr’s larger projects, while Aspyr can help bring group games to additional platforms.
Aspyr’s certified publishing capabilities and platform relationships may extend the reach of Saber and Embracer content.
