M&A announcement summary
14 Oct, 2026Deal rationale and strategic fit
Definitive agreements signed Oct. 12, 2026, for an all-stock acquisition of the full robotics business at an agreed value of ~$200M; closing is targeted by end-Oct. 2026.
The transaction is intended to create a separately listed Nasdaq robotics platform, while FFAI positions itself as a holding platform for Physical AI investment and M&A.
The four-core model spans EAI Brain and Developer Platform, EAI Devices, Industry Productivity Solutions and EAI Data Factory, drawing on 12 years of automotive R&D, manufacturing and supply-chain capabilities.
RoboShare and the listed platform are intended to complement the acquired business through sales, leasing, deployment, recurring services, capital access and financial transparency.
Financial terms and conditions
Consideration is all stock at $2.246 per share, representing ~$200M and a ~50% premium to the Oct. 12 close of $1.50; ~89M shares, including assumed team options, are expected to be issued.
The special stock dividend was removed; up to $10M of common-stock-only PIPE financing is priced at $1.50 per share with no warrants or discount, and the acquisition is not conditioned on PIPE funding.
FFAI’s voting power is estimated at 33.2% at closing, rising to 71.6% after approval and preferred-stock conversion; post-approval ownership is projected at 65.7% fully diluted, with ~10.7% public float.
FFAI’s consideration is subject to an 18-month lockup, with registration rights after 12 months; PIPE investors cannot sell for six months or before resale registration becomes effective.
Standalone projections include $7.1M revenue in 2026, ~$45M in 2027, and $1.064B revenue and $361M EBITDA in 2030; projections are not guidance.
Synergies and expected cost savings
RoboShare’s asset-light marketplace connects customers, robot owners and local operators; a one-year education customer rental preceded an order increasing the planned fleet from 5 to 23 robots.
