2026 Annual Meeting set for November 19, 2026, at 9:00 a.m. ET via audio-only webcast; October 12, 2026 is the voting record date.
Stockholders will vote on five director nominees, auditor ratification, preferred-stock conversion terms, authorized shares, a reverse split, say-on-frequency and say-on-pay.
The Board recommends voting for each nominee and substantive proposal, and for annual say-on-pay votes.
Voting matters and shareholder proposals
Five nominees—Cao Yu, Hu Bin, Angel Colon, Chan Oi Fat and Hongya Wen—stand for one-year terms ending at the 2027 Annual Meeting.
Proposal 3 would remove the Series A preferred-stock beneficial ownership cap, enabling conversion; approval requires majority voting power overall and a separate majority of preferred-stock voting power.
Proposal 4 would conditionally raise authorized common shares from 60 million to 300 million; it depends on Proposal 3, conversion of all preferred shares and filing a certificate of elimination.
Proposal 5 seeks Board discretion to implement a 1-for-2 to 1-for-15 reverse split by the one-year anniversary of the meeting, or abandon it.
Proposal 6 is advisory on say-on-pay frequency; the Board recommends annual votes. Proposal 7 is advisory say-on-pay, with the committee to assess significant opposition.
Board of directors and corporate governance
Board nominated five directors; Hongya Wen chairs the Board and Li Wai Chung is CEO, keeping Board chair and CEO roles separate.
Hongya Wen, Hu Bin, Angel Colon and Chan Oi Fat were determined independent under Nasdaq and SEC standards.
In FY2025, the Board held 12 meetings; directors each attended at least 75% of applicable Board and committee meetings.
Audit, Nominating and Corporate Governance, and Compensation Committees each comprise Hu Bin, Angel Colon and Chan Oi Fat; Angel Colon chairs Audit and is its financial expert.
August 2026 indemnification agreements cover directors and executive officers, providing indemnity for specified liabilities and advancement of certain proceeding expenses.
