5 Oct, 2026Company overview and business model
Hadron Halo is a planned 10-MWe, 35-MWth pressurized light-water microreactor, factory-fabricated for transport and designed for a 10-year operating cycle without refueling.
Target uses include data centers, industrial facilities, remote communities, defense installations and utilities; the strategy prioritizes behind-the-meter and off-grid deployments.
Planned energy-as-a-service model centers on long-term PPAs at a target $0.15/kWh; the business would own and operate units and include operations, maintenance, fuel management and decommissioning.
NRC engagement began in 2025; the QAPD topical report received an acceptable safety evaluation in May 2026, and manufacturing and combined license submissions are targeted for 2027–2028.
First deployment is targeted for 2030, subject to regulatory approval; plans call for U.S. production capacity of at least 50 units annually by 2035 and 100 by 2040.
Financial performance and metrics
FY2025: revenue $0; net loss $71.8M; operating cash outflow $3.9M; cash $1.76M and accumulated deficit $72.4M at Dec. 31, 2025.
Q1 2026: net income $13.37M versus net loss $0.22M YoY, driven mainly by non-cash SAFE remeasurement gain of $13.42M and legal-settlement remeasurement gain of $4.69M.
Q1 2026 operating cash outflow was $1.21M; cash was $2.13M and accumulated deficit $59.0M at Mar. 31, 2026.
Management identified substantial doubt about ability to continue as a going concern; additional financing is needed to fund development and operations.
Use of proceeds and capital allocation
No proceeds from selling-securityholder resales; up to ~$333M could come from cash exercise of all warrants, but proceeds depend on exercise and share price.
Warrant proceeds, if received, are expected to fund general corporate purposes and working capital; cashless exercises yield no cash.
Business-combination closing generated ~$33.9M net proceeds after redemptions; $5.9M was paid at closing under a forward stock purchase agreement.
Planned R&D spending totals ~$100M through 2030 for design, prototypes, testing, licensing and FOAK development; future growth financing may include equity, debt and DOE programs.
