Financial terms and conditions

Pre-transaction Rallybio equityholders will own approximately 2.8% and Avenzo equityholders (including new investors) about 97.2% of the combined company.
Rallybio will distribute nearly all pre-closing net cash to its stockholders and issue contingent value rights (CVRs) tied to legacy asset proceeds.

The merger brings together teams with deep oncology drug development expertise, aiming to efficiently advance four clinical-stage programs and support multiple clinical milestones and data readouts in 2027 and 2028.
