M&A announcement summary
21 Oct, 2026Deal rationale and strategic fit
AustralRe anchors VPCS, a permanent-capital vertical separate from Asset Management, creating a balance-sheet business alongside the asset-light division.
VPCS is intended to fund GP commitments, seed strategies and expand fundraising across Latin America through market cycles, using capital not subject to LP redemption cycles.
AustralRe brings a profitable reinsurance platform operating in 16 countries, with R$3.0bn in gross written premiums and R$1.8bn in cash and investments as of June 2026.
The transaction builds on more than 15 years of shared history and aligns AustralRe’s investment capital with fund investors.
Financial terms and conditions
Priced at 1.0x tangible book value, with estimated consideration of R$336m after pre-closing capital distributions and extraordinary dividends.
Estimated consideration is R$247m in cash and 1.7m new Class A shares; the final mix depends on minority shareholders’ cash-or-stock elections.
A R$150m–R$200m pre-closing distribution is planned, alongside a R$900m equity contribution at closing.
Expected to be immediately accretive on a cash basis, with double-digit accretion to distributable earnings per share.
Approval included an independent board committee, a Kroll fairness opinion, equal terms for AustralRe shareholders and private equity fund LPAC approval.
Synergies and expected cost savings
Each R$1 of AustralRe long-term balance-sheet capital could unlock at least R$13 of third-party fee-paying AUM, based on historical results.
AustralRe’s investable assets can support GP commitments, seed strategies and fundraising; alternative allocations may enhance portfolio yields and ROE over time.
VPCS will absorb 100% of GP commitments and future capital calls, leaving Asset Management cash flows available for shareholder returns or VPCS growth.
Shared Latin American markets may create commercial and corporate-development opportunities, including premium generation and reinsurance partnerships.
