Opening remarks and agenda
Meeting commenced with acknowledgment of traditional land owners and safety instructions.
Chair Samantha Hogg welcomed attendees and outlined the meeting's purpose regarding the proposed scheme of arrangement with CRH.
Purpose was to consider and vote on the proposed acquisition of shares by CRH ANZ Pty Ltd via a scheme of arrangement.

Scheme overview and shareholder proposals
Adbri entered into a Scheme Implementation Deed with CRH to acquire all shares not owned by Barro Group.
Independent Adbri shareholders to receive $3.20 per share if the scheme is approved.
The offer represents a 41% premium to the undisturbed share price and falls within the independent expert's valuation range.
The sole item of business was the scheme resolution for the acquisition of shares by CRH ANZ Pty Ltd.
CRH has declared this is its best and final offer in the absence of a competing proposal.
