Opening remarks and agenda

• The October 8, 2026 EGM opened with a 64% quorum; the agenda covered redomiciliation and the Omnibus Incentive Plan, with item two conditional on approval of item one.

• Shareholders could vote for, against, or withhold, and submit questions through Lumi chat or live video.

Specific resolutions and voting outcomes

• Shareholders approved continuation into Delaware as Transamerica Inc., adoption of its charter and bylaws, related Bermuda bye-law amendments, termination of the voting-rights agreement with Vereniging Aegon, and a 40:1 share exchange.

• The proposal also reduced authorized share capital from EUR 720 million to EUR 504 million; the share exchange and interim bye-law changes were scheduled for October 15, 2026, subject to completion of the Association split.

• Shareholders approved the 50 million-share Omnibus Incentive Plan, effective January 1, 2027; the conditional adjournment proposal was not put to a vote.

Financial performance review

• Transamerica H1 2026 operating result was $756 million (+10% YoY), operating capital generation was $501 million (+35%), and gross remittances were $355 million (+18%).

• World Financial Group exceeded 100,000 licensed agents (+11% YoY); individual life sales rose 54%, while agent productivity and premiums per policy increased. New life sales rose 5% and annuity sales 12%.

• Savings & Investments sustained momentum with strong written sales and asset growth; the global asset manager and international businesses were reported to be performing well.
