Opening remarks and agenda

• AGM opened at 10:00 a.m.; the Chair confirmed a quorum, introduced directors and outlined the agenda, question process and poll voting procedure.

• Meeting was webcast; in-person attendees could vote, while remote viewers could submit questions but not vote. All resolutions were subject to a poll.

• Agenda included consideration of the Financial Report, Directors’ Report and Auditors’ Report for the year ended 30 June 2026.

Financial performance review

• FY 2026 sales revenue rose 2% at constant currency; volume grew 1%, with 3% net new business growth offset by a 2% like-for-like volume decline.

• Underlying profit increased 4% at constant currency, including a $90m adverse U.S. repair-capacity impact; excluding that impact, growth was 11%.

• Free cash flow before dividends exceeded $1bn for the second consecutive year; return on capital invested rose 0.4 percentage points to 22.6% at constant currency.

• FY 2027 guidance: 2%-4% sales revenue growth, 2%-6% underlying profit growth at constant currency and $800m-$950m free cash flow before dividends; FY 2028 margin target is at least 3 percentage points above FY 2024.

Board and executive committee updates

• Board renewal was described as strengthening collective skills and experience for the next phase of growth and value creation.

• Ken McCall, John Mullen, Priya Rajagopalan and Nora Scheinkestel stood for re-election and outlined relevant experience and intended contributions.

• John Mullen said his workload was manageable and that he was reducing other commitments, including retiring from Brookfield Infrastructure at year-end.

• Graham Chipchase’s participation in the Performance Share Plan or amended plan was proposed through the 2027 AGM.
