Voting matters and shareholder proposals

• Election of three Class II directors to serve until the 2029 Annual Meeting: Andrew Brown, John Colgrove, and Roxanne Taylor are nominated.

• Ratification of Deloitte & Touche LLP as independent registered public accounting firm for the fiscal year ending January 31, 2027.

• Advisory vote on named executive officer compensation (say-on-pay).

• Proxyholders authorized to vote on other business as may properly come before the meeting.
