Opening remarks and agenda

• 22nd AGM held virtually; quorum declared with attendees representing 3,987,676 shares and the chair holding proxies for 37,788,001 shares.

• Notice taken as read; annual financial statements, integrated annual report, directors’ and auditor’s reports, committee reports and remuneration materials presented or tabled.

• Resolutions put to a poll; Computershare appointed scrutineer, with voting open during the meeting and results displayed after voting closed.

Board and executive committee updates

• Hilton Saven and Adheera Bodasing stood for re-election as Non-Executive Directors after retiring by rotation; Mholi Shandu, appointed April 1, 2026, stood for election as a Non-Executive Director.

• Audit Committee nominees were Daphne Motsepe, Tapiwa Hudson Njikizana and Brendan Deegan; Deegan’s election was conditional on resolution 1.2 passing.

• Social, Ethics and Transformation Committee nominees were Fatima Abrahams, Daphne Motsepe, Hilton Saven and Johan Enslin; Saven’s election was conditional on resolution 1.1 passing.

Shareholder proposals

• Ordinary resolution 7 sought general authority for the Board and subsidiaries to repurchase shares.

• Special resolution 2 sought continuing authority to issue notes under the domestic medium-term note programme; special resolution 3 sought authority for financial assistance to subsidiaries and related or interrelated entities.

• Special resolution 1 covered Non-Executive Director fees for July 1, 2026–June 30, 2027; ordinary resolution 8 authorized directors to implement resolutions passed at the AGM.
