Opening remarks and agenda

• Agenda and meeting procedures were made available to attendees via the virtual meeting website and proxy statement.

Corporate governance

• Cheryl Niebling was appointed as Inspector of Elections to oversee and certify the voting process.

• Notice of the meeting and a list of eligible stockholders were provided in advance, with quorum requirements and procedures clearly outlined.

• Quorum was confirmed with at least 33.3% of shares present virtually or by proxy, allowing the meeting to proceed.

Shareholder proposals

• The first proposal was to adopt an amended and restated merger agreement involving multiple parties, including SoundHound.AI and two merger entities.

• The second proposal was a non-binding advisory vote on compensation for named executive officers in connection with the merger.

• The adjournment proposal was not presented due to sufficient votes for the merger.
