Opening remarks and agenda
Chairman Brad Tilden opened the meeting, recognized the Board, special committee, and management team for their dedication and efforts over the past fifteen months.
Legal counsel, proxy solicitor, and Inspector of Elections were introduced, and the meeting was called to order with three agenda items: merger agreement, executive compensation, and potential adjournment.
Board and executive committee updates
The special committee, chaired by Eric Spronck with Kirsten Green and Amy Tienor O'Toole, was acknowledged for evaluating and negotiating the merger agreement.
Board and special committee unanimously recommended approval of all proposals, with Eric and Pete Nordstrom abstaining.
Shareholder proposals
Three proposals were presented: approval of the merger agreement, advisory vote on executive compensation related to the merger, and adjournment if more votes were needed.
The adjournment proposal was not voted on as sufficient votes for the merger were expected.

What would later go on to become Nordstrom was founded as Wallin & Nordstrom in 1901 by John W. Nordstrom and Carl F. Wallin, two Swedish immigrants. The success of their first store led to an expansion into a full-line clothing retailer, taken over by two of Nordstrom's sons upon his retirement. His two children would go on to expand the business into neighboring cities and states, eventually joined by a third brother and the trio worked together for close to 40 years. It eventually began selling clothes as well and went public at the beginning of the 1970s. Today, it’s one of the most recognizable department store chains in America together with the likes of Kohl's and Macy’s.
