Company overview and business model

• Digital finance platform for emerging markets, combining consumer wallets, cashless payments, savings, merchant acquiring and tools, and credit products for individuals and MSMEs.

• Operations span Nigeria, Indonesia, Egypt and Pakistan; Indonesia focuses on loan facilitation, Egypt on merchant acquiring, and Pakistan on merchant acquiring and consumer wallets.

• Revenue comes from transaction fees, self-operated loan financing, loan facilitation, short-term investment interest and other services; the Cayman Islands parent has no substantive operations.

• Indonesia operations run through KUFI under contractual arrangements rather than direct equity ownership; the entity is consolidated for accounting purposes, with control and economic benefits dependent on those agreements.

Financial performance and metrics

• Revenue was $536.3M in FY2025 vs. $205.7M in FY2024; net income was $72.5M vs. a $50.8M net loss, respectively.

• H1 2026 revenue was $467.1M vs. $197.5M H1 2025; net income was $90.9M vs. $21.7M, and operating income was $131.2M vs. $35.8M.

• H1 2026 revenue growth was 137% YoY and net income margin was 19%; Nigeria generated 89.5% of H1 2026 revenue.

• Cash and cash equivalents plus short-term investments totaled $918.7M as of June 30, 2026; operating cash flow was $190.4M in H1 2026.

• As of July 31, 2026, MAUs were 50.1M, DAUs 26.8M and DAU/MAU 54%; 90.1B transactions generated $558B GTV in the 12 months ended June 30, 2026.

Use of proceeds and capital allocation

• Net proceeds from the IPO and concurrent private placement are intended for general corporate purposes, including technology, distribution, new solutions, market expansion, acquisitions and strategic investments.

• Unused proceeds are intended for short-term, interest-bearing debt instruments or bank deposits; management retains discretion to redirect funds if plans or conditions change.

• The H1 2026 liquidity position and anticipated operating cash flow, together with offering proceeds, were expected to cover cash needs for at least 12 months after the prospectus date.
