Opening remarks and agenda
Chair welcomed shareholders and outlined the meeting's purpose: to consider and vote on a special resolution for a plan of arrangement with Viridian Acquisition Inc.
Meeting was held virtually via the Lumi platform, with rules for participation and voting explained.
Specific resolutions to be voted on
Shareholders considered a special resolution to approve a plan of arrangement for all issued and outstanding shares to be acquired by Viridian Acquisition Inc. for CAD 26.50 per share.
The full text of the resolution was included in the Management Information Circular.
The board unanimously recommended voting in favor of the arrangement.
Corporate governance
Quorum was confirmed with 52.86% of shares represented, meeting requirements for the meeting to proceed.
Scrutineer and secretary were appointed for the meeting, and affidavits of mailing were included in the minutes.
