Opening remarks and agenda

• Chair welcomed attendees, acknowledged traditional land custodians, and introduced board members and key executives.

• AGM commenced at 9:00 am Sydney time on 31 October 2025, covering formal business, financial results, strategic updates, and Q&A.

• Agenda included tabling financial statements, remuneration report, re-election of directors, share issues under the Omnibus Incentive Plan, FY25 financial results, Q1 FY26 update, new affiliate introduction, growth agenda, and corporate sustainability.

• Voting procedures and Q&A protocols for both in-person and online participants were outlined.

Financial performance review

• Net profit after tax for FY25 was AUD 134.4 million, up 49% from FY24; diluted EPS rose 37%.

• Total affiliate funds under management reached AUD 179.4 billion, a 63% increase year-on-year, with record net inflows of AUD 23.1 billion.

• Aggregate Affiliate revenues increased 39% to $925m, with performance fees contributing $153.6m.

• Five-year CAGR: NPAT 33.1%, EPS 28.3%, FUM 25%.

• Retail and international FUM now represent over 50% of total FUM.

Board and executive committee updates

• Two directors, including the Chair, stood for re-election and provided detailed professional backgrounds; Alan Watson and Lorraine Berends were re-elected with 94.03% and 99.31% proxy support, respectively.

• Board succession and director shareholding policies were discussed, with all directors now holding shares.

• Shares and performance rights issued to Andrew Chambers and Christa Lenard under the Omnibus Incentive Plan were approved with over 99% support.

• Succession planning for the Managing Director and affiliates is ongoing, with emphasis on stability and long-term leadership.
