Opening remarks and agenda
Meeting convened to consider the proposed Scheme of Arrangement for Rubik Australia to acquire all issued shares, with separate voting for general shareholders and UniSuper.
All board members and senior executives were present, and the scheme booklet and independent expert's report were tabled.
Acknowledgment of Traditional Custodians and respect extended to Aboriginal and Torres Strait Islander Peoples joining the meeting.
Financial performance review
Qube has grown from 150 employees and 30 sites to over 10,000 employees in 200+ locations since 2006.
The AUD 5.20 per share offer represents a significant premium to historical trading prices and values Qube's equity at approximately AUD 9.3 billion.
Board and executive committee updates
Directors' fees remained unchanged from the previous year, with no additional exertion payments.
The executive team is expected to remain post-transaction, while no offers have been made to non-executive directors.
Board consists of a Chairman, Managing Director, and six Non-executive Directors.
