Opening remarks and agenda

• Ian Campbell opened the meeting after confirming a quorum; the agenda covered introductions, the CEO’s FY 2026 review, formal business and stakeholder questions.

• CEO Raimond Coneliano presented the FY 2026 review; attendees included Executive Director Renato Coneliano, incoming Chair Mary Verschuer and new Director Sheila Lines.

Financial performance review

• FY 2026 sales revenue was AUD 1.330bn, up 6.9%; gross profit reached AUD 298m, up 11.0%, and gross margin was 22.4%, up 0.8 percentage points.

• NPAT rose 19.2% to AUD 92m; EBITDAFX increased 9.9% to AUD 134m, and after-tax ROIC was 14.6%, up 1.1 percentage points.

• North American sales grew 33.8% to more than AUD 100m; Australian sales rose 6.1% to AUD 1.120bn.

• EPS grew 20%; gross profit-to-EBITDAFX conversion was 45%.

• Almost 9,000 active customers and nearly 500 employees served more than 1,200 product groups and 5,500 SKUs.

Board and executive committee updates

• Ian Campbell’s retirement took effect at the close of the AGM; Mary Verschuer was to succeed him as Chair, and Sheila Lines joined as an Independent Non-Executive Director.

• Sheila Lines cited financial expertise, cross-industry commercial experience and ASX experience as contributions to the Board; her independence was confirmed.

• Succession planning covered Board roles and key executives; Sheila Lines’ search involved a shortlist of about 10 candidates, with each director interviewing four.
