Opening remarks and agenda

• Agenda covered the chair’s introduction, CEO report, resolution, questions and general business; the chair opened the meeting after confirming notice and quorum.

• Hayley Gourley chaired her first shareholders meeting after her August appointment; Mark Dewdney resigned as director effective 15 October and is due to become Tātua Chair in December.

Specific resolutions to be voted on

• Ordinary resolution sought approval to issue up to 1.5 million ordinary shares under the Grower Loyalty Share Scheme and provide loans of up to NZD 9 million to fund share purchases.

• Growers qualify after supplying 100% of their crop for three harvest seasons; shares are issued at market price, with issuance prorated down if the price exceeds NZD 6, and growers repay outstanding loans less dividends after three years.

• Shareholders voting for the resolution are ineligible to participate; approval requires a simple majority of votes cast, with results to be announced via NZX.

Board and executive committee updates

• Hayley Gourley committed to stewardship, representing shareholder interests and engaging with stakeholders; CEO Michael Franks reported that all business units made positive earnings contributions.

• 1H26 profit before tax was NZD 62.6m, up 5%; EPS was NZD 1.07, up 19%, and bank debt declined to NZD 119.8m.

• Post-harvest 1H revenue was NZD 206.6m, up 1%; EBITDA rose 6% to NZD 83.2m and EBIT rose 7% to NZD 73.3m, despite 4% fewer kiwifruit trays packed, supported by automation and cost management.

• SeekaFresh 1H revenue rose 12% to NZD 12.7m; EBITDA increased 28% to NZD 2m and EBIT rose 39% to NZD 1.4m.
