Deal rationale and strategic fit
The merger creates a leading integrated Total TV, Audio, and Digital platform with national reach across metropolitan and regional Australia, combining complementary assets and brands to form a top Australian-owned multimedia group.
The combined entity will offer advertisers a one-stop shop for cross-platform audience engagement, campaign efficiency, and improved targeting, leveraging news, sport, and entertainment content.
The deal is motivated by the need to compete with global media giants, accelerate digital growth, and aligns with both companies' history of supporting industry consolidation.
Financial terms and conditions
The transaction is an all-scrip merger: SWM shareholders receive 0.1552 SCA shares per SWM share, resulting in SCA shareholders owning 50.1% and SWM shareholders 49.9% of the merged group.
Combined day-one market capitalization is estimated at $417 million.
The deal is unanimously recommended by both Boards, with major shareholders, including SGH (40.2% of SWM), indicating support.
The transaction is expected to be over 100% EPS accretive to SCA shareholders on an FY26F basis, assuming $30 million in cost synergies.
