Company overview and business model

• California-based Tier 1 automotive supplier of body-in-white structural components, including door rings, B-pillars and side structures, primarily for Tesla vehicles. Production uses hot press forming, cold stamping, laser cutting and robotic welding.

• Lathrop, California facilities provide approximately 567,791 rentable sq. ft. and designed annual capacity of 600,000 car sets; products include 77 distinct items, with 51 manufactured in the U.S. and 26 managed through CKD logistics.

• Operations use automated production, just-in-time delivery and IATF 16949-certified quality systems; approximately 166 specialized robots support production.

• Tesla accounted for 99.02% of FY2026 revenue and 99.49% in FY2025; Model 3 Highland and Model Y together generated 98.5% and 98.8% of revenue in those respective years.

• Strategy targets customer and geographic diversification, an East Coast subsidiary by end-2026, Mexico and Canada expansion, more integrated sub-assemblies, and a locally self-sufficient U.S. R&D function by 2027.

Financial performance and metrics

• FY2026 revenue was $323.9M, down 13.2% YoY from $373.3M; FY2025 revenue fell 9.7% YoY from $413.1M in FY2024.

• FY2026 gross profit was $34.5M and gross margin 10.64%, versus $30.2M and 8.09% in FY2025; operating income rose 40.7% YoY to $19.0M.

• FY2026 net income increased 50.2% YoY to $16.9M; non-GAAP EBITDA was $30.3M and EBITDA margin 9.36%, versus $23.0M and 6.17% in FY2025.

• At June 30, 2026, cash and cash equivalents were $39.4M, restricted cash $7.1M, total assets $182.0M and total liabilities $82.7M; $9.0M was outstanding under the Korea Eximbank facility.

• FY2026 operating cash flow was $32.4M and capex $4.2M; management said available operating cash flow and financing resources were sufficient for requirements for at least the next 12 months.

Use of proceeds and capital allocation

• Estimated net proceeds to the issuer are $23.9M, or $30.7M with full over-allotment exercise, at the assumed $20 IPO price; no proceeds go to selling stockholders.

• Planned allocation: 25% East Coast acquisition, 25% Mexico and Canada expansion, 10% independent R&D team and 40% general working capital.

• Acquisition targets are expected to offer specialized manufacturing capabilities or established client networks; there were no active negotiations or commitments as of the filing. Management may change allocations and retains broad discretion.
