Merger and integration

• Deako merger, announced several weeks earlier, was expected to close very soon; integration planning was already underway before closing.

• Deako products are in 350,000 homes, with 32M products sold; the combined portfolio represents ~120 issued and pending patents.

• Deako serves ~50 builders, including D.R. Horton and Toll Brothers; management sees potential to sell up to five times more through the channel by adding its products.

• Post-close plans include combining apps and rationalizing technology, R&D, accounting, administration and overhead; Deako shareholders are expected to own slightly more than 15% of the combined entity.

Platform and market opportunity

• Generation 3 combines smart-home functions, including speaker, smoke and CO detection, and 5G; management says installation can take minutes versus days for conventional wired systems.

• Ceiling placement is said to provide 2x–3x the Wi-Fi or Bluetooth range and speed; the combined platform is designed to cover ceiling, junction-box, switch and outlet locations.

• Products work with Alexa, Google and other smart-home platforms; both businesses are focused on Matter compatibility and an open-platform approach.

• Management cited more than 400M annual U.S. fixture installations across residential settings, excluding commercial and hotel demand.

Commercial pipeline

• Disclosed projects include a $4B, 63-acre Miami smart-city development, two 65-story Trump Towers in Hyderabad totaling 2.2M sq. ft., and hotel renovations in France, Prague and Durham.

• Additional opportunities include multifamily projects in Texas and North Carolina, a New York smart-home community, and potential projects with groups in Saudi Arabia and Egypt.

• Disclosed projects represent ~1M units in the pipeline; management expected to reach 100,000 homes by year-end, while deliveries depend on builders’ permits and schedules.

• The two Hyderabad towers were expected to use tens of thousands of units, with partners potentially supporting adoption in other Indian projects.
