Company overview and business model

• North American independent renewable-energy developer, power producer and asset operator, developing, constructing and operating solar PV and battery energy storage projects in Canada and the U.S.

• In-house capabilities span site origination, permitting, grid interconnection, engineering, procurement and construction, financing, IPP ownership, asset management, and operations and maintenance.

• Revenue comes from distributed and community solar projects serving commercial, industrial, municipal, residential and utility off-takers, including projects under FIT, VDER and PPA programs.

• Began operating as an independent power producer in 2023; strategy includes monetizing current operating projects and expanding the solar and BESS pipeline through development and acquisitions.

Financial performance and metrics

• Forecast liquidity and internally generated cash flows are insufficient to fund operations and obligations for at least 12 months from the financial statements’ issuance date; substantial doubt exists about going-concern ability.

• No binding financing commitments cover all forecast liquidity requirements; management is pursuing equity financing, debt refinancing, project financing, asset monetization and cash-conservation measures.

• Financial statements follow IFRS Accounting Standards; Deloitte LLP audited the FY ended June 30, 2026 and 2025 statements and retrospective adjustments to FY2024 statements.

Use of proceeds and capital allocation

• Unless a prospectus supplement specifies otherwise, net proceeds are intended for working capital, general corporate purposes and advancement of business objectives.
