Executive summary
Special Meeting of Stockholders adjourned to January 31, 2025, to solicit additional proxies and reach quorum for voting on two key proposals.
Over 80% of votes cast so far support both proposals, but quorum (50% of outstanding shares) has not yet been met.
Approval of proposals would allow access to additional financing, with proceeds from warrant exercises intended for general corporate purposes.
Failure to approve proposals may require repeated meetings every 60 days and could hinder future financing and business operations.
Voting matters and shareholder proposals
Proposal 1 and Proposal 2 are up for vote, with the Board recommending approval of both.
As of January 10, 2025, 1,967,069 out of 4,046,802 shares have voted; 56,333 more shares needed for quorum.
More than 80% of votes cast support both proposals, based on preliminary tabulation.
Stockholders are urged to vote immediately to help reach quorum and approve the proposals.
If not approved, additional meetings will be required every 60 days until approval is obtained.
Board of directors and corporate governance
The Board of Directors has recommended a FOR vote on both proposals.
The Special Meeting will be held virtually, allowing stockholders to attend, vote, and submit questions online.
