Opening remarks and agenda

• First AGM chaired by Duncan West; 275 shareholders, proxy holders and attendees were present at opening, with a quorum declared. The meeting considered FY26 reports, remuneration, auditor appointment and director elections.

Financial performance review

• FY26 NPAT AUD 1.03bn; cash earnings AUD 1.04bn; underlying earnings rose 4.5%; underlying insurance trading ratio 11.8%, at the top of target range for a fifth consecutive reporting period.

• Natural hazard costs were ~AUD 2bn, AUD 254m above allowance; underlying margins remained 11.8%.

• TSR fell 7.6% in FY26; five-year TSR to June 2026 was 124.8% versus 46.2% for the ASX 200, and remained positive calendar year to date.

• FY26 completed an AUD 400m on-market buyback; more than AUD 4.8bn capital returned over three years, with an intended buyback of up to AUD 250m in FY27.

Board and executive committee updates

• Sally Herman and Simon Machell retired at the AGM after 11 and nine years; Yen Saw joined the board in June and stood for election.

• Caroline Clarke was appointed to join on 2 November and stand for election at the 2027 AGM; her appointment would bring women’s board representation to 40%.

• CEO Steve Johnston continued in his role; executive changes included new appointments to commercial and personal injury insurance, consumer insurance, chief risk, and customer brand and advocacy leadership roles.
