Executive summary
Net AUM excluding Motor Finance reached ₹2,34,114 Cr, up 26% YoY and 9% QoQ; including Motor Finance, AUM was ₹2,60,698 Cr, up 7% QoQ.
PAT excluding Motor Finance was ₹1,285 Cr, up 39% YoY and 14% QoQ; including Motor Finance, PAT was ₹1,290 Cr, up 18% QoQ.
Unaudited standalone and consolidated financial results for the quarter and nine months ended December 31, 2025, were approved and reviewed with unmodified auditor opinions.
Results reflect the amalgamation of Tata Motors Finance Limited (TMFL) into the company, effective May 8, 2025, with figures restated accordingly.
IPO of 47.58 crore shares completed in October 2025, raising ₹6,846 crore, with no deviation in fund utilization.
Financial highlights
Net interest income (excl. Motor Finance) was ₹2,936 Cr, up 26% YoY; including Motor Finance, ₹3,315 Cr, up 10% QoQ.
Consolidated Q3 FY26 revenue: ₹7,975.44 crore (up from ₹7,103.61 crore YoY); net profit attributable to owners: ₹1,256.87 crore (up from ₹1,075.57 crore YoY).
Annualized ROA/ROE (excl. Motor Finance) at 2.3%/14.3%; (incl. Motor Finance) at 2.1%/13.1%.
Consolidated borrowings stood at ₹2,19,870 Cr; debt to equity ratio at 5.1x.
Liquidity buffer of ₹34,888 Cr as of Dec-25.
Outlook and guidance
FY26 guidance (excl. Motor Finance): AUM growth 22-25%, credit cost 1.0-1.1%, cost to income 35-36%, ROA 2.2-2.3%, ROE 14-15%.
FY26 guidance (incl. Motor Finance): AUM growth 18-20%, credit cost ~1.2%, cost to income 38-39%, ROA 2.0-2.1%, ROE 13-14%.
FY28 guidance: AUM CAGR 23-25%, PAT CAGR >30%, cost to income 33-34%, credit cost <1%, ROA 2.5-2.7%, ROE 17-18%.
IPO proceeds used to augment Tier-I capital for future growth and lending; all funds utilized as planned.
Company continues to monitor regulatory changes, especially regarding new labour codes, and will adjust accounting as needed.
