AGM 2026 summary
22 Oct, 2026Opening remarks and agenda
Hybrid AGM opened at 11:00 AM Western Standard Time after quorum was confirmed; formal business covered seven resolutions and the 2026 annual report.
Shareholders were invited to raise resolution-related questions, with broader questions reserved for the Managing Director’s presentation.
Financial performance and funding
The 2026 annual report, including financial statements, Directors’ Report and Independent Auditors’ Report, was received and taken as read; directors and auditors had approved the financial statements.
Just under US$600m was in the bank at end-June; funding was described as sufficient through construction and to first net cash flow, subject to customary conditions precedent.
Funding package included AUD 200m from the National Reconstruction Fund, EUR 50m from Germany’s Raw Materials Fund, $100m from Export Finance Australia and $775m in debt.
More than US$1bn in debt funding was conditionally approved and more than US$900m in equity was cited; the strategy remained subject to financing documents and conditions precedent.
Debt was expected to be drawn after equity and the convertible note are used, toward the back end of next calendar year; a $200m standby liquidity facility becomes available during ramp-up.
Board and executive committee updates
Mark Southey concluded his eight-year tenure as chair; Ian Murray assumed the role, pledging to oversee construction, commissioning and safe operations.
Ian Murray cited his experience steering Gold Road Resources through its transformation into a major gold producer and prioritized safety, cost and schedule discipline.
Michael Spreadborough was presented for director re-election; Peter Sherrington was recognized for nearly 18 years as CFO and his role in financing the ore-to-oxide strategy.
The board and leadership team cited capabilities in major project development, complex plant operations, rare earths, multi-government stakeholder management and fit-for-purpose governance.
