Financial terms and conditions
Upfront consideration is US$2.5 billion (US$2.15 billion cash, US$0.36 billion shares), with up to US$0.5 billion in contingent consideration over three years tied to performance and retention.
Funded by A$1.85 billion (US$1.2 billion) institutional placement, US$0.36 billion scrip, US$0.4 billion revolving credit facility, and US$0.6 billion existing cash.
Melio valued at ~13.4x March 2025 annualised revenue, reducing to ~9.7x if targeted synergies are achieved.
Pro forma FY25 net debt/EBITDA is ~2.3x, with expectations for rapid deleveraging and positive cash flow.
A US$37.5 million break fee is payable if the deal fails solely due to HSR approval.
Synergies and expected cost savings
FY28 targets include ~US$70 million in revenue synergies and ~US$20 million in cost synergies, driven by cross-selling, GTM integration, and cost avoidance.
Revenue synergies stem from accelerated customer acquisition, ARPU expansion, and new product launches.
Cost synergies will be realized through economies of scale, G&A consolidation, and product/engineering efficiencies.
Additional upside expected from extending accounting to Melio’s syndication network and embedded offerings.
