Specific resolutions to be voted on

• Adoption of the 2026 Equity Incentive Plan for a three-year period.

• Approval to issue up to 5 million shares of common stock via a public offering.

• Increase in the non-executive director fee pool from AUD 500,000 to $600,000 per annum.

• Issuance of RSUs to Mr. Omer Granit, Mr. Erik Levy, Mr. Robert Latta, and Mr. Tim Johnson, each valued at $115,000 per year for three years.

• Withdrawal of the proposal to issue stock to Mr. Hank Holland.

Corporate governance
