Strategic rationale and restructuring
The board decided to split the maritime and defense businesses into two independent, listed companies to sharpen strategic focus, enhance execution, and improve competitiveness, supported by the Norwegian state.
Each business has grown significantly, with diminished synergies and distinct sector-specific opportunities driven by security, sustainability, and geopolitical trends.
The demerger aims to create a world-class defense leader and a pure-play maritime expert, both with strong order backlogs and robust financial performance.
Both entities will maintain headquarters in Norway and retain significant national strategic importance.
Continued collaboration will occur where commercially advantageous.
Execution plan, transaction structure, and timeline
The split will be executed as a demerger, with a 1:1 share allocation for current shareholders and no new shares issued; the Norwegian state will maintain its ownership.
Demerger plan publication is set for December 2025, with an extraordinary general meeting in January 2026 and listing completion expected in April 2026.
Kongsberg Maritime will be listed separately on Euronext Oslo Børs, with trading expected to begin in Q2 2026.
Detailed financials for each unit will be provided with Q4 and annual results, and a listing prospectus is expected in April.
A new board for Kongsberg Maritime will be established upon completion of the demerger.
Leadership and organizational changes
Lisa Edvardsen Haugan will become CEO of the maritime company, while Eirik Lie will lead the defense and aerospace unit; Mette Toft Bjørgen will be CFO of maritime, with a new CFO for defense to be appointed.
Current CEO Geir Håøy will step down at the time of the split after ten years of leadership.
