Opening remarks and agenda

• Hamish McLennan opened the meeting after confirming a quorum; voting was by poll, online voting remained open through the meeting, and written questions were invited.

• Agenda covered the Chairman’s and CEO’s addresses, FY 2026 strategy and performance, formal shareholder business, and Q&A.

Financial performance review

• FY 2026 core revenue was AUD 1,793m (+7%), EBITDA excluding associates AUD 1,088m (+12%), and NPAT AUD 650m (+15%); reported NPAT was AUD 552m (-19%) and operating EBITDA margin was 61%.

• EPS was AUD 4.93 (+20%); excluding India, revenue was AUD 1,730m (+12%) and EBITDA AUD 1,121m (+12%). Revenue and EBITDA grew at 11% and 12% 10-year CAGRs.

• realestate.com.au averaged 12.7m monthly visitors, 5.2m more than its nearest competitor; nine in 10 Australians visiting a residential property site used it.

• Premiere+ reached record penetration; Audience Maximiser penetration more than doubled YoY, Ignite active users rose 17% YoY, and financial-services leads increased 30% YoY.

• The AUD 200m on-market buyback concluded, with more than 1.25m shares purchased; operating efficiency and disciplined cost and capital management were highlighted.

Board and executive committee updates

• Kelly Bayer Rosmarin will retire after nearly five years; Sally Bruce will join the board in November, bringing financial-services experience.

• Cameron McIntyre led the business as CEO through FY 2026; Andrew Cramer became CFO in February, Katrina Konstas joined as Chief Commercial and Marketing Officer, and Jonathan Swift joined as Chief Product Officer.

• Nick Dowling stood for a fourth term, citing real-estate and banking experience, contributions to data and international strategy, and five years chairing the Human Resources Committee.

• The board comprised Hamish McLennan, Cameron McIntyre, Nick Dowling, Tracey Fellows, Richard Freudenstein, Jennifer Lambert, Michael Miller and Kelly Bayer Rosmarin; management succession planning spans three organizational tiers.
