• AI-supported cloud platform combines a smartphone app with 24/7 Personal Security Agents for preventative, pre-emergency monitoring, guidance and response coordination. Services are offered in 28 countries.

• Revenue channels include B2B/B2G subscriptions, B2B2C partnerships and direct-to-consumer subscriptions; additional services include guards, bodyguards, drone response and security consulting.

• AI in production primarily uses proprietary rule-based anomaly detection; development plans include machine learning, automated call triage, translation, virtual agents and drone-response capabilities.

• More than 40 B2B customers and a few thousand DTC members; management estimates average response time within 4 seconds.

Financial performance and metrics

• FY2025 revenue $9.972M vs. $9.736M in FY2024; net loss $10.549M vs. $11.017M.

• H1 2026 revenue $4.469M vs. $4.524M H1 2025; net loss $11.473M vs. $5.197M, with operating expenses of $10.219M vs. $4.930M.

• FY2025 ARR was ~$10M and bookings $10.6M, compared with ~$9.7M ARR and $10.3M bookings in FY2024; H1 2026 ARR was ~$10M and bookings $4.81M.

• June 30, 2026 cash $5.190M vs. $599K at Dec. 31, 2025; current assets $7.264M vs. current liabilities $8.287M, with substantial doubt about ability to continue as a going concern.

Use of proceeds and capital allocation

• No proceeds go to the issuer from selling-stockholder resales under this prospectus; selling holders may sell some, all or none of the registered shares.

• If the equity line is drawn, proceeds are expected to support sales and marketing; development plans also target ~$1M for partnerships in additional countries over the next two years and ~$5M for product development.

• Planned expansion investments are expected to be funded through bridge financing and equity lines of credit.
