The AGM was formally opened with a welcome to shareholders, outlining the agenda including approval of 2025 accounts, dividend setting, auditor's report, remuneration, and board renewals.
Quorum was established at 69.56%, and the meeting was officially constituted.
Meeting held on April 21, 2026, with participation from the Supervisory Board, Management Board, and statutory auditors.
Financial performance review
Portfolio value at end-2025 was EUR 5.5 billion, down from 2024 due to asset sales; net debt reduced to EUR 1.5 billion from EUR 2.6 billion.
2025 revenue reached EUR 307 million, up 4%, with EBITDA at EUR 45 million and net income group share at EUR 20 million, a turnaround from a EUR 6,004 million loss in 2024.
Gameloft revenue grew 4% to EUR 303 million, with EBITDA/EBITA up to EUR 15 million, and PC/console revenue share increased to 47%.
Major divestments included TIM and Telefónica, reducing debt by over EUR 1 billion.
Q1 2026 revenue was EUR 69 million, up 1.3% year-on-year, with PC/console now 51% of Gameloft revenue.
Board and executive committee updates
Bernard Osta co-opted to the board, chairing Governance, Appointments, and Remuneration Committee; Laure Delahousse to chair Audit and Sustainability Committee.
Board reduced from nine to six members, maintaining gender balance and two-thirds independence; Supervisory Board independence ratio at 67% and gender balance at 50%.
Management Board renewed in current composition.
Compensation and benefits for all board members and executives for 2025 were submitted and approved.
Renewal of Maud Fontenoy’s term and ratification of Bernard Osta’s co-optation to the Supervisory Board.
