In 1950, Diners Club issued the first modern credit card to exist, representing the type of cards familiar to us today. Seeing its success, a range of large financial institutions and other companies in America began issuing their own form of credit cards.
In 1958, American Express emerged as one of the first major players to issue its own charge cards. Public interest was so substantial that American Express had already issued 250,000 of its cards before the official launch date, despite the card's high annual fee of $6 at the time ($64 inflation-adjusted). Bank of America entered the credit card arena in the same year, introducing a product that was initially exclusive to California. In 1966, Bank of America's card began to be licensed for use in other states, and the name of this business was changed to Visa. It was spun off as an independent corporation in 1976.
The same year that Bank of America launched Visa, in 1966, a consortium of competitors established the Interbank Card Association (ICA), which would ultimately introduce Master Charge shortly after, which saw a name change to Mastercard in 1979. Today, Mastercard and Visa are the two biggest credit card networks globally, controlling roughly 90% of the payment processing market outside of China. Due to their duopoly and scalable underlying business models, Visa and Mastercard boast the highest operating margins among all companies in the S&P 500, with 67% and 57% respectively in 2023.
How Visa and Mastercard Came to Dominate
Since debit and credit cards originated in America, Visa and MasterCard had a head start from a global perspective, both being founded in 1966. However, as previously mentioned, Diners Club issued its first credit card in 1950, followed by American Express, which pivoted to credit cards in 1958. American Express issued the first plastic credit card in 1959, and the magnetic stripes were developed by IBM.
This radical shift by American Express, which originated as a transportation and currency exchange company in 1850, was a response to the changing needs of post-war America. During this era, consumerism was on the rise, and a growing middle class with an increasing disposable income. The American Express card, initially a paper card with an annual fee, allowed cardholders to make purchases on credit and settle their bills at the end of each month.
The American Express Card revolutionized the payment landscape, fostering a shift from cash and checks to electronic payments. Consequently, American Express can be considered the true pioneer and first-mover in the credit card and payment processing space. Despite this, Visa and Mastercard would subsequently come to dominate almost the entire market.
In response to the success of American Express, Visa and Mastercard were born out of the major banks in America, arguably the most crucial variable in the creation of this global duopoly. For a long time, Mastercard and Visa used restrictive contracts to their advantage. Merchants were therefore left with no choice but to deal with these companies due to the lack of viable alternatives. To prevent competitors from expanding, the banks who held influence over Visa and MasterCard also refused issuing cards from other networks (such as American Express), and merchants from accepting them.
In response to these unfair business practices, American Express sued MasterCard and Visa for monopolistic practices and won. As a result, the duopoly was required to cease the aforementioned restrictive practices. However, these regulations served merely as a delaying tactic. While the lawsuit was proceeding, MasterCard and Visa further consolidated their market dominance. By this point, their already substantial size had initiated the flywheel effect of network advantages, and the continued support from America's largest financial institutions made breaking the duopoly very challenging.
The Debit Card Network
Debit card payments are essential for most of us. According to the Federal Reserve, over 100 billion debit card payments were made in 2021, compared to 51 billion credit card payments. In terms of transaction value, debit cards processed $4.6 trillion, while credit cards reached $4.9 trillion, indicating that credit transactions tend to be about double in average value.
In the U.S., Visa and Mastercard dominate the debit card market, handling 60% and 25% of all debit transactions, respectively. The fee structure is complex, varying by region, PIN use, card presence, number of merchant locations, and transaction volume. Business Model and Competitive Advantages
To truly understand the power of Visa and Mastercard's business models, it's important to note their revenue sources and how the value chain works regarding payment processing. They do not issue cards themselves or set interest rates; instead, they provide networks for electronic payments involving merchants, banks, and consumers. Their revenues stem from transaction processing fees and services offered to financial institutions.
The best way to describe payment processing is as a digital counterpart to railroads. Just as goods cannot be transported by train without railroads, giving railroad owners significant control over transportation, so too do payment processors control digital transactions. If a new entity were to start building railroads, the costs would be prohibitive. Initial investments would yield little return, as a single railroad in, for example, Texas, would offer limited value if not connected to a broader network across America. The same applies to payment processing.
Network effects describe a phenomenon where a product or service becomes more valuable as its user base grows. This concept is essential in understanding the dynamics of many businesses and technologies, especially in the digital age, and is particularly relevant to the Visa-Mastercard duopoly. Essentially, as Visa or Mastercard adds another bank to its payment network, its value to merchants increases, and the same is true in reverse. This creates a virtuous cycle, making Visa and Mastercard increasingly difficult to compete with as they expand.
MasterCard and Visa, with their large base of users and merchants, thus find themselves in a secure position. Consequently, American Express, their arguably closest competitor, has been forced to expand its payment network in alternative ways. These include offering loyalty points, with the hope that increasing its user base will encourage more merchants to accept its card.
Moreover, the power of payment processing from a competitive perspective is significantly enhanced by its distribution. Beyond relying on size (network) and first-mover advantages, Visa and Mastercard have gained immense benefits by having major banks serve as distributors of their cards – a relationship that persists to this day. This means that the banks, which initially controlled Visa and Mastercard, ensured that these networks became the exclusive options available to merchants.
Additionally, payment processing is remarkably scalable: more transactions over their networks result in increased revenue without a proportional increase in costs. This scalability, combined with network effects and distribution advantages, arguably constitutes the three most crucial aspects of creating this duopoly, which is among the largest globally.

Breaking the Duopoly
Since the early days of payment processing in the 1970s and 1980s, various entities have attempted to persuade regulators to break the Visa-Mastercard duopoly, albeit without success. As of 2024, this issue is arguably more contentious than ever.
For example, Amazon recently announced its decision to stop accepting Visa's UK credit cards, a move that appears to be an attempt to negotiate lower transaction fees. This kind of frustration among merchants is not uncommon; major retailers such as Walmart, Costco, and others have long advocated, sometimes successfully, for better terms.
However, the Amazon situation is arguably unique. As a company valued at $1.6 trillion and accounting for 40% of U.S. e-commerce sales, according to eMarketer, Amazon should have significant leverage over payment networks. Its global presence further complicates matters for Visa and Mastercard. If they reduce fees to satisfy Amazon and Walmart, they risk upsetting banking clients such as JPMorgan Chase and Bank of America, who in part rely on these fees to fund credit card rewards.
Moreover, the Indian government has launched a payment processing company called RuPay. Within a short span of five to six years, RuPay has become the largest issuer of debit cards in India by volume, and is thus on the verge of surpassing Visa and MasterCard. This small scare in just one market caused MasterCard and Visa to complain to the American government. They believe that the Indian government is needlessly favoring RuPay, creating a hostile environment for other companies.
Firstly, it should be understood that RuPay is not the first payment processor backed by a national government. There are many examples. For instance, JCB is supported by Japan, Alpha card by the Russian government, and Aurora by Brazil. Since many countries are making efforts to break the Visa-MasterCard duopoly, there must be underlying issues. The primary concern is the high fee these companies charge for transaction processing, which becomes possible due to the lack of competition.
Visa and MasterCard typically charge a percentage of the sales amount to the merchant. In contrast, RuPay in India charges a nominal flat fee. There appears to be little justification for the substantial fees charged by Visa and MasterCard. This practice of market skimming is also why they have complained to the American government. If national payment processors are allowed to flourish, over time, all merchants might migrate to their networks due to the significant cost savings.
Another significant threat is the potential for new fintech players to bypass traditional payment networks entirely. Digital wallet services such as PayPal and Block, formerly known as Square, enable consumers to make direct payments to merchants through bank transfers. These digital wallets, including Apple Pay, collectively account for roughly one-third of e-commerce transactions across North America and Europe, as reported by Worldpay.
It's worth noting that consumers often link their cards to these digital wallets rather than conducting direct bank transfers, which still involve Visa and Mastercard in the payment process. However, this dynamic could evolve over time. In China, dominant players like Alipay and WeChat Pay have successfully connected merchants and consumers directly.
Furthermore, the emergence of fast-growing "buy-now-pay-later" companies like Klarna and Affirm provides shoppers with the option to split their purchases into monthly installments. This poses a direct threat to credit cards.
Future Outlook
The Visa-Mastercard duopoly has played a vital role in digitizing payments but also raises questions about stifling competition, a common concern with monopolies and duopolies. With increasing regulatory scrutiny, they might face changes in their business practices or encounter a more competitive market environment.
